Bär & Karrer Advises Miele on the Establishment of a Joint Venture in the Fields of Infection Control and Life Science

On 23 November 2023, Miele and Metall Zug entered into an agreement accord-ing to which Miele will contribute the Steelco Group and Metall Zug will contrib-ute Belimed AG as well as Belimed Life Science AG into a new joint venture to be established in the fields of infection control and life sciences. Miele will hold a 67% stake and Metall Zug a 33% stake in the joint venture to be headquartered in Zug. Closing of the transaction, which is subject to regulatory approvals, is expected to occur in the first half of 2024.

Bär & Karrer acted as a Swiss legal and tax advisor to Miele in the implementa-tion and planning of this transaction. The team was being co-led by Vera Naegeli (M&A, Corporate and Commercial) and Susanne Schreiber (Tax) and included Linus Zweifel, Shu Zhang, Velibor Blagojevic and Fabian Schlegel (all M&A, Corporate and Commercial), Anke Stumm and Ariane Menzer (both Tax), Christine Schweikard (Regulatory and IP/IT), Lukas Roesler (Financing), Laura Widmer and Nicola Schön (both Employment), Rehana Harasgama (Data Protection) and Jennifer Winkler (Real Estate and Data Protection).
